This product (“Product(s)”) is covered by the claims of U.S. Patent No. 9,850,498 and its foreign counterpart patent claims. The purchaser may use the Product solely for the purpose of conducting internal non-commercial researches at its own laboratory. The Product shall not be used in humans, or for pharmaceutical or in vitro diagnostic purposes. The purchaser shall not modify the whole or part of sequences of plasmids contained in the Product, except those in the multiple cloning site (MCS) of each plasmid. The purchaser shall not use any partial sequences of each plasmid for production of another plasmid. Any modification or other derivative of the Product in breach of the purchaser’s obligations herein shall be owned by Takara Bio Inc. (TAKARA), and the purchase hereby assigns to TAKARA any and all rights in and to such modification. The purchaser shall not transfer or otherwise dispose of the Product, including its modifications or other derivatives, to any third party without TAKARA’s prior written permission. TAKARA may permit a transfer of the Product, including its modifications or other derivatives, if the transferee is a third party who is also granted a license to use the Product separately from TAKARA. The purchaser shall not transfer or assign to any third party any or all of its rights or obligations regarding the Product. The purchaser shall comply with all applicable laws, rules and regulations. Even if a purchase order or other document submitted to TAKARA by the purchaser contains terms or conditions conflicting with or in addition to these terms and conditions, these terms and conditions shall prevail and such conflicting or additional terms or conditions shall be rejected.
